1. Acceptance of Terms

By accessing or using PaperPad (the "Service"), operated by Webease, LLC ("Company," "we," "us," or "our") at paper-pad.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We may modify these Terms at any time by posting the revised version on this page. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

2. Description of Service

PaperPad is a technology platform that provides quantitative signal references and trade journaling tools for U.S. equities. The Service generates algorithmic signal references from historical and real-time market data. PaperPad does not execute trades, hold customer funds, or connect to brokerage accounts.

3. Not Investment Advice; No Fiduciary Duty

PaperPad is not a registered investment adviser (RIA), broker-dealer, commodity trading advisor (CTA), or financial planner. We do not provide personalized investment advice, recommendations, or solicitations to buy or sell any securities. All signals, analytics, and content are for informational and educational purposes only.

No fiduciary duty, advisory relationship, or similar obligation exists between Webease, LLC and any user of the Service. The information provided does not take into account your individual financial situation, investment objectives, or risk tolerance. You should consult with a qualified financial adviser before making any investment decisions.

4. User Responsibilities

All trading and investment decisions are made solely by you. You acknowledge that: (a) past performance does not guarantee future results; (b) backtested results are hypothetical and may not reflect actual trading conditions; (c) you are solely responsible for evaluating the merits and risks of any investment decision; and (d) you will not rely on PaperPad as your sole source of information for investment decisions.

5. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

6. Subscription & Billing

Paid subscriptions automatically renew at the end of each billing cycle unless cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Annual plans include a 7-day money-back guarantee from the date of initial purchase. All payments are processed securely through our third-party payment processor. We comply with applicable anti-money laundering (AML) regulations. Prices are subject to change with at least 30 days' notice.

7. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the PaperPad signal engine or algorithms;
• Resell, redistribute, sublicense, or commercially exploit signal data or any content provided by PaperPad;
• Use the Service to provide investment advisory services to third parties;
• Use automated scripts, bots, or scrapers to access the Service without our written consent;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.

8. Data Ownership

Your trade journal data, notes, and other user-generated content belong to you. You retain all intellectual property rights in your content. You may export or delete your data at any time. By using the Service, you grant Webease, LLC a limited, non-exclusive license to process your data solely to provide and improve the Service. We will not sell your personal trading data to third parties.

9. Intellectual Property

All rights, title, and interest in the Service, including but not limited to the signal engine, algorithms, software, design, trademarks, and content (excluding user-generated content), are and shall remain the exclusive property of Webease, LLC. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.

10. Data Accuracy & Service Availability

Market data and price quotes displayed on PaperPad are provided by third-party sources and may be delayed. We do not guarantee the accuracy, completeness, or timeliness of any market data. The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEBEASE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, ANY TRADING OR INVESTMENT DECISIONS MADE BASED ON SIGNAL REFERENCES, OR ANY INTERRUPTION OR ERROR IN THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO WEBEASE, LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Webease, LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

13. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND WEBEASE, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first agreeing to these Terms. The opt-out notice must include your name, email address, and a clear statement that you wish to opt out.

14. Force Majeure

Webease, LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, market disruptions, exchange outages, data provider interruptions, internet infrastructure failures, pandemics, or extreme market volatility.

15. DMCA Notice

If you believe that content on PaperPad infringes your copyright, please send a DMCA takedown notice to our designated copyright agent at [email protected]. Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement under penalty of perjury that your notice is accurate.

16. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. You may request export of your data within 30 days of termination.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
